平台必需数据强制开放义务的理据与构造

摘要:

必需设施原则的适用需满足三个基本前提:数据引发垄断、平台数据垄断可沿用传统反垄断法框架加以规制以及可适用于数据领域,该原则对平台数据垄断的法律规制具有指引意义。基于此,平台必需数据强制开放义务的构造可从客体、主体和内容三个层面展开。在义务客体方面,必需数据应满足不可或缺和不可替代的实质要件,以及竞争封锁与创新阻塞等形式要件。在义务主体方面,承担开放义务的是掌握关键数据资源并具有市场支配地位的平台企业,而开放对象则是具备竞争相关性和必要性的其他市场参与者。在义务内容方面,强制开放的范围应依据数据类型和应用场景合理划定,并遵循公平、合理、无歧视的原则有序推进。同时,应设置合理的豁免情形,形成完整的义务框架,为促进数字经济的公平竞争提供制度支撑。

Abstract:

The application of the essential facilities principle is subject to three fundamental premises:that data constitutes a source of monopoly power, platform data monopolies can be regulated within the traditional antitrust framework, and the theory is applicable to the data field. Accordingly,this theory can be introduced to regulate platform data monopolies. Based on this, the construction of mandatory data disclousure obligations for platforms can be developed across three dimensions: the object matter, obligated parties, and the content. Regarding the object matter of the obligation,essential data must satisfy substantive requirements of indispensability and irreplaceability, alongside formal requirements such as competitive foreclosure and innovation obstruction. Concerning obligated parties, the duty to open data rests with platform enterprises possessing critical data resources and market dominance, while the recipients of such opening are other market participants demonstrating competitive relevance and necessity. Concerning the content of the obligation, the scope of mandatory disclosure should be reasonably defined based on data types and application scenarios, and implemented in an orderly manner adhering to the principles of fairness, reasonableness, and non-discrimination. Concurrently, reasonable exemptions should be established to form a comprehensive obligation framework, providing institutional support for fostering fair competition in the digital economy.
